Commitment on strike/lockout notice

Canada Rail Conference, representing all running trades employees at
CP Rail, announced today that their members have failed to ratify a
tentative new five year contract. The current Collective Agreement
expired December 31, 2006 and applies to approximately 4500
locomotive engineers, conductors and assistant conductors employed
in road and yard service at Canadian Pacific Railway.
The failure to ratify has resulted in an agreement between the
parties to postpone any strike or lockout notice until Saturday,
November 24, 2007, to allow the parties to meet to explore the
possibilities of a negotiated settlement.

Dear Sirs:
Further to our conversations earlier today this is to confirm our
agreement that:

No strike or lockout notice
will be served by either party prior to Saturday, November
24, 2007 to enable the parties to seek a negotiated
settlement. |

The parties will commence
meetings on Friday, November 23, 2007 at 0930 Calgary time
at the Teamsters Canada Railway office Calgary in order to
attempt to seek a negotiated settlement and determine next
steps. |

| (3) |
It is understood that the
Federal Mediation and Conciliation Services (FMCS), and the
Media will be advised of this agreement. |
